Services Provided

Rumeira offers retainer-based services including:

• Website Design & Development
• Google Ads & Facebook Ads Management
• Keyword Research & Backlink Building
• Content Strategy & Copywriting
• On-page & Technical SEO
• Software Development & CRM Migrations

The company reserves the right to adjust sub-tasks and methods of each deliverable in the best interest of your business. Subcontracting and assignment of rights is permitted without prior consent.

Client Responsibilities

Clients must:

• Provide necessary information, access, passwords, and assistance within reasonable timeframes.
• Nominate a primary point of contact representative.
• Maintain permissions and legal rights for all submitted content.
• Assume full responsibility for the accuracy and legality of any information or content provided.

Payment & Billing

• All services operate on a retainer basis and require advance payment.
• Payments are automatically charged via Stripe.
• Subscriptions auto-renew until canceled.
• All payments are final. No refunds will be issued under any circumstances.
• Non-payment results in immediate service suspension, including website hosting, SEO, and ad management.

Ownership & Intellectual Property

• All intellectual property rights (design, code, SEO strategies) remain the property of the Company until payment for the respective billing period is received in full.
• Upon full payment, clients receive a non-exclusive, perpetual license.
• Ownership of new content reverts to Rumeira upon non-payment or cancellation.

Performance Disclaimer

SEO and marketing results are subject to third-party algorithm updates. The Company does not guarantee specific rankings, traffic volumes, or ROI, and is not liable for ranking fluctuations caused by search engine policies.

Liability Limitation & Indemnification

• Clients indemnify Rumeira from claims arising from contract breaches or business operations.
• Company liability is capped at amounts paid during the month the claim arose, excluding lost profits or consequential damages.
• Clients accept responsibility for business performance and legal compliance.

Dispute Resolution & Governing Law

Disputes are governed by New York law and resolved through binding arbitration via the American Arbitration Association, waiving jury trial rights.

Exclusive Credit Display

• Rumeira reserves the right to display “WEBSITE DESIGN BY RUMEIRA” in website footers with a backlink to rumeira.com.
• A one-time $5,000 fee removes this credit.
• Screenshots may be used for portfolio purposes.

Termination

• Either party may terminate this agreement with written notice.
• Upon termination, the Client has 60 days to request a copy of their website content.
• Clients bear the costs of transitioning to new providers.

Force Majeure

Neither party is liable for delays or failures in performance resulting from events beyond their reasonable control, including power failures, civil unrest, malicious code, or governmental actions.
